Abstract

The role of company directors in Nigeria is pivotal to the governance and operational success of corporations. Directors are entrusted with powers and responsibilities that require them to act in the best interests of the company, shareholders, and stakeholders. This article examines the duties and liabilities of company directors under Nigerian law, exploring statutory provisions, judicial interpretations, and regulatory expectations. It highlights the challenges associated with directors’ accountability, the consequences of breach of duties, and provides recommendations for enhancing corporate governance standards.
